These Terms of Service ("Terms") are a legal agreement between you and Chanz Automation LLC, a Georgia limited liability company that develops and operates TowScribe ("Chanz Automation," "TowScribe," "we," "us," or "our"), and govern your access to and use of our software platform, mobile applications (including the TowScribe iOS application), websites, and related services (collectively, the "Service"). TowScribe is a product of Chanz Automation LLC.

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

• "Customer Organization" means the business entity (e.g., a towing company) that has subscribed to the Service and that authorizes individuals to access it.
• "Authorized User" means an individual employee, contractor, driver, dispatcher, administrator, or other person who has been authorized by a Customer Organization to access the Service.
• "Customer Data" means data, content, and information submitted to or processed through the Service by or on behalf of a Customer Organization, including data generated by Authorized Users.
• "You" means the Authorized User accessing the Service, and, where applicable, the Customer Organization on whose behalf the Authorized User acts.

2. Eligibility and Accounts

You must be at least 18 years of age to use the Service. By accessing the Service, you represent that (a) you are at least 18 years old; (b) you are authorized by a Customer Organization to access the Service in the role assigned to you; and (c) your use of the Service complies with all applicable laws.

You are responsible for safeguarding your account credentials. Do not share your password or allow anyone else to access the Service using your account. You must notify us promptly of any unauthorized use of your account.

3. License to Use the Service

Subject to your compliance with these Terms and, where applicable, your Customer Organization's subscription agreement with TowScribe, TowScribe grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your Customer Organization's internal business operations.

4. Acceptable Use

You agree that you will not, and will not permit any third party to:

• Use the Service in violation of any applicable law, regulation, or third-party right;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by law;
• Resell, sublicense, rent, lease, or otherwise commercially exploit the Service except as expressly permitted;
• Use the Service to transmit harmful code, malware, or spam, or to harass, defame, or harm any person;
• Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure;
• Interfere with or disrupt the integrity or performance of the Service, including by submitting excessive automated requests;
• Use the Service to send unsolicited commercial communications in violation of applicable law (including TCPA, CAN-SPAM, and similar laws);
• Use the Service to record audio communications in violation of applicable wiretap or two-party consent laws.

5. Driver Safety and Compliance

The Service includes features intended for use by professional drivers. You acknowledge and agree that:

• You will comply with all applicable traffic laws, hours-of-service regulations, commercial vehicle requirements, and motor carrier safety regulations.
• You will not interact with the Service while operating a vehicle in a manner that violates distracted-driving laws or that compromises safety. You are solely responsible for pulling over to a safe location before using the Service in any way that requires your visual or manual attention.
• TowScribe provides routing and dispatch information as guidance only. You are responsible for assessing road conditions, vehicle safety, and operational decisions in real time. We do not guarantee that any route is the safest or fastest.

6. Customer Data

As between TowScribe and the Customer Organization, the Customer Organization owns all Customer Data. The Customer Organization grants TowScribe a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data as necessary to provide the Service and as further described in our Privacy Policy.

The Customer Organization is responsible for the accuracy, legality, and appropriateness of Customer Data, and for obtaining all necessary consents (including from end customers and Authorized Users) for TowScribe to process that data.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7A. AI-Enabled and Automated Features

The Service may provide optional AI-enabled or automated features, including voice intake, information extraction, photo or document analysis, summaries, and suggested findings. To provide an enabled feature, relevant Customer Data may be processed by third-party AI service providers as described in our Privacy Policy.

AI and automated outputs are probabilistic or rules-based assistance and may be incomplete, inaccurate, or inappropriate for a particular situation. You and the Customer Organization are responsible for reviewing outputs before relying on them and must not use an output as the sole basis for decisions concerning vehicle or roadway safety, damage attribution, employment, legal rights, emergency response, or any other consequential matter. These features are not professional, legal, medical, safety, or emergency services and do not replace a qualified person or emergency responder.

You may submit information to an AI-enabled feature only when you and the Customer Organization have the right and all necessary notices, permissions, and consents to do so. You may not use an AI-enabled feature to make unlawful decisions, deceive a person about a material fact, generate harmful or illegal content, or bypass any human-review control provided by the Service.

8. Subscriptions, Fees, and Payment

Access to the Service is provided on a subscription basis to Customer Organizations. Subscription terms, fees, billing cycles, and payment methods are set forth in the applicable order form or subscription agreement between the Customer Organization and TowScribe. Except where required by law, all fees are non-refundable. We may suspend access if fees are unpaid.

The TowScribe iOS application itself is provided free of charge to Authorized Users; no in-app purchases are required to use the application.

9. Third-Party Services

The Service interoperates with third-party services (such as Twilio for telephony, Stripe for payments, Apple/Google/Microsoft for authentication, and mapping providers). Your use of those third-party services is governed by their own terms and privacy policies. TowScribe is not responsible for the acts or omissions of any third-party service.

10. Intellectual Property

TowScribe and its licensors retain all right, title, and interest in and to the Service, including all software, content, designs, logos, and trademarks. Except for the limited license expressly granted in these Terms, no rights are granted to you. Feedback or suggestions you provide may be used by TowScribe without restriction or compensation.

11. Termination

Your access to the Service may be terminated or suspended at any time by your Customer Organization, by TowScribe (in the event of a material breach of these Terms, non-payment by the Customer Organization, or as otherwise permitted by the applicable subscription agreement), or by you (by closing your account or requesting account deletion as described in our Privacy Policy).

Sections that by their nature should survive termination (including Sections on Customer Data, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. TOWSCRIBE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. GPS, ROUTING, AND LOCATION DATA MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR YOUR OWN SAFETY AND DRIVING DECISIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TOWSCRIBEOR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF TOWSCRIBE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TOWSCRIBE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE APPLICABLE CUSTOMER ORGANIZATION TO TOWSCRIBE FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless TowScribe and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) Customer Data submitted by you or by your Customer Organization; or (d) your use of the Service in a manner not authorized by these Terms.

15. Apple App Store Additional Terms

These Terms apply to your use of the TowScribe iOS application downloaded from the Apple App Store. You and TowScribe acknowledge that:

• These Terms are between you and TowScribe only, and not with Apple Inc. ("Apple").
• TowScribe, not Apple, is solely responsible for the iOS application and its content.
• The license granted to you for the iOS application is limited to a non-transferable license to use the application on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms of Service.
• Apple has no obligation to provide maintenance or support for the iOS application.
• In the event of any failure of the iOS application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the application.
• TowScribe, not Apple, is responsible for addressing any claims by you or any third party relating to the iOS application, including product liability claims, intellectual property claims, and consumer protection claims.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms with respect to the iOS application and may enforce these Terms against you.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Atlanta, GA, and you and TowScribe consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you in the app or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

18. Miscellaneous

These Terms (together with any subscription agreement between your Customer Organization and TowScribe, if applicable) constitute the entire agreement between you and TowScribe concerning the Service. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
